2. Professional Services & Deliverables
Proton Softtech provides professional technology solutions, including custom web application development, POS software, mobile apps, UI/UX design, and IT training courses. Every custom project is governed by a dedicated Statement of Work (SOW) or formal client agreement that outlines project milestones, payment schedules, and deliverable specifications.
3. Intellectual Property Rights
- Client Deliverables: Upon receipt of full payment for agreed milestones, intellectual property rights to custom code, designs, and assets developed specifically for the client are transferred in accordance with the individual client contract.
- Proton Softtech IP: All proprietary software architectures, proprietary libraries, website graphics, branding, training materials, and documentation remain the intellectual property of Proton Softtech.
4. Academy Courses & Training Programs
Students enrolled in our "Learn & Earn" academy courses agree to uphold academic integrity and professional conduct. Course curricula, video tutorials, exercises, and instructional materials provided during training are strictly for personal, non-commercial educational use by the enrolled student. Unauthorized distribution or copying is prohibited.
5. Third-Party Links & Advertising
Our website may display advertisements served by Google AdSense and links to third-party websites or services. Proton Softtech does not control, endorse, or assume responsibility for the content, privacy practices, or products of any third-party websites. Users interact with third-party advertisers at their own discretion and risk.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Proton Softtech and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption resulting from the use or inability to use our website or services.
8. Software Warranty & Acceptance Testing Period
Unless otherwise specified in a formal project contract, custom software deliverables developed by Proton Softtech are accompanied by a standard 30-day post-launch warranty period commencing on production deployment. During this window, Proton Softtech will address and remediate any reproducible bugs, deviations from agreed Statement of Work (SOW) specifications, or security anomalies at zero additional charge. Modifications requested outside the original scope or necessitated by subsequent third-party API changes fall under separate change requests.
9. Point of Sale Software (Proton Pro POS) Licensing
Proton Pro POS licenses are granted on either a monthly software-as-a-service (SaaS) subscription or a 5-Year enterprise on-premise license.
- Offline Operation: While Proton Pro POS is engineered with offline-first SQLite architectures to permit uninterrupted cashier operations during local network outages, real-time cloud inventory synchronization and FBR fiscal reporting require active internet connectivity.
- License Restrictions: POS licenses are bound to the specified store branch or terminal count agreed upon at the time of purchase. Reverse engineering, decompilation, or unauthorized sub-licensing of the binary files is strictly prohibited.
10. Milestone Payments, Invoicing & Taxes
All software project fees are quoted net of applicable provincial sales taxes (such as Punjab Revenue Authority - PRA, or Sindh Revenue Board - SRB) and federal withholdings unless stated otherwise. Milestone invoices must be settled within seven (7) business days of issuance. Late payments may result in the temporary suspension of development sprints or staging server access until balances are cleared.
11. Force Majeure & Infrastructure Dependencies
Proton Softtech shall not be held liable for delivery delays or service disruptions caused by events beyond reasonable commercial control, including but not limited to nationwide fiber cuts, regional internet blackouts, upstream cloud hosting outages (Hostinger, AWS, DigitalOcean), electrical grid disruptions, government regulatory changes, or foreign exchange currency fluctuations.
12. Cancellation, Refunds & Code Handover Escrow
In the event that a client requests project termination prior to completion, compensation is assessed based on milestones completed to date. Advance deposits for project phases already underway or completed are non-refundable. Upon settlement of all outstanding invoices, all source code, graphic assets, and architectural documentation created up to the cancellation date will be transferred to the client.
13. Governing Law & Jurisdiction
These terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any legal disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent civil courts in Islamabad, Pakistan.
14. Modifications to Terms
We reserve the right to revise and update these Terms and Conditions at any time. Material updates will be posted directly to this page with a revised effective timestamp. Your continued use of the website or our software solutions constitutes binding acceptance of the updated terms.
